Kyndrid Messaging Terms

These Messaging Terms (“Terms”) govern SMS/text messages and related messaging communications sent by or on behalf of Kyndrid, LLC (“Kyndrid”, “we”, “our”, or “us”) using our websites, applications, APIs, and messaging features (the “Messaging Services”). By opting in to receive messages from a Kyndrid messaging program (a “Program”), or by otherwise using the Messaging Services, you agree to these Terms.
Important: Kyndrid may provide messaging infrastructure to our customers (“Program Owners”). Where messages are sent on behalf of a Program Owner, that Program Owner is responsible for the purpose/content of the messages and for obtaining and maintaining any required consents. These Terms describe how Programs typically work and how to manage your preferences.
Two common Program structures: (a) Kyndrid Account Program—messages sent by Kyndrid to platform users (for example, login verification/OTPs and account security alerts); and (b) Program Owner Programs— messages sent by or on behalf of a Program Owner to that Program Owner’s end customers (for example, appointment reminders, confirmations, and support messages). Messages should identify the applicable sender/brand within the message content or opt-in flow.
1. Program types and message categories
Programs may include one-way or two-way messaging and may send:
- Transactional / service messages (e.g., confirmations, receipts, scheduling updates, reminders, status alerts).
- Security / authentication messages (e.g., one-time passwords (OTPs), verification codes, account alerts).
- Conversational messages (e.g., replying to your inquiries, support interactions, two-way chat).
- Marketing / promotional messages (e.g., offers, campaigns, announcements), where permitted by law and where required consent has been obtained.
Message frequency varies by Program and by your interactions (for example, OTP messages are event-driven; marketing may be periodic). Where a Program requires recurring messages, the Program’s opt-in flow or initial confirmation message should disclose that recurring messaging may occur.
2. Consent and authorization
By providing your phone number and completing an opt-in (where applicable), you authorize Kyndrid and/or the applicable Program Owner to send messages to that number using an automatic telephone dialing system or other automated technology, as allowed by law.
Kyndrid Account Program (platform users): If you create an account, sign in, enable multi-factor authentication, or request a login verification code, you authorize Kyndrid to send security/authentication messages (such as OTPs and account alerts) to help provide and secure the service. If you block these messages, you may be unable to access your account until you update your verification method or contact support.
Program Owner Programs (end customers): Where messages are sent on behalf of a Program Owner to that Program Owner’s end customers, the Program Owner is responsible for obtaining, documenting, and maintaining any required consents and authorizations (including any required disclosures about message frequency, STOP/HELP, and message/data rates) and for ensuring message content complies with applicable law, carrier rules, and industry guidelines. Kyndrid acts as a messaging infrastructure provider and may process phone numbers, message content, and related metadata as needed to deliver and manage messages.
If you are a Program Owner (platform user): By using the Messaging Services, you authorize Kyndrid to send messages on your behalf to the destination numbers you provide (or that your end customers provide to you) and you represent and warrant that:
- You have a lawful basis and all required consents/authorizations to message each recipient for the specific message categories you send (transactional, conversational, marketing, etc.).
- Your opt-in flows and initial messages accurately identify your business/brand as the sender and include clear instructions for opting out (e.g., STOP) and getting help (e.g., HELP or a support contact).
- You will honor opt-out requests promptly and will not attempt to override a recipient’s opt-out except where permitted by law (e.g., a recipient re-opting in).
- You will not send unlawful, deceptive, abusive, or prohibited content, and you will comply with any applicable timing restrictions and “quiet hours.”
- You will maintain records of consent and message logs as reasonably necessary to demonstrate compliance and to resolve disputes, including responding to compliance inquiries.
Consent is not a condition of purchase. If you do not want to receive marketing texts, do not opt in to marketing; you may still receive transactional/security messages that you request or that are necessary to provide the service (subject to applicable law).
If you are opting in on behalf of someone else, you represent that you are authorized to do so. If you provide a number that is not yours, you may be violating the law and/or the other person’s rights.
3. Opt-out and help
You can opt out of a Program at any time by replying STOP to a message (where supported). You may also use other common stop commands such as END, CANCEL, UNSUBSCRIBE, or QUIT depending on the Program and carrier behavior.

After you opt out, you may receive a final confirmation message. Opt-out applies to the specific Program/number you texted; if you are subscribed to multiple Programs or interacting with multiple numbers, you may need to opt out from each.
Note for account security/OTP: If you reply STOP to the Kyndrid Account Program (or otherwise block messages), you may stop receiving login verification codes and other account security texts. To continue using the service, you may need to update your verification method within your account settings or contact support.
4. Message frequency and quiet hours
Message frequency varies. Some messages are event-driven (e.g., OTPs, appointment confirmations). Programs that send marketing/promotional messages are expected to do so in a reasonable manner and in compliance with applicable “quiet hours” or timing restrictions (which may vary by jurisdiction).
If you believe a Program is contacting you too frequently, opt out using STOP and contact us at hello@kyndrid.io with details.
5. Charges and carrier notes
Message and data rates may apply depending on your carrier plan. Carriers are not liable for delayed or undelivered messages.
The Messaging Services may use different originating numbers (including long codes, toll-free numbers, or short codes) depending on the Program, destination, routing, and compliance requirements. Different Programs (including different Program Owners) may use different numbers. Delivery may be affected by carrier filtering, device settings, coverage, or other factors outside our control.
6. Two-way messaging and content you send us
Some Programs support two-way messaging. When you reply to a message, we (and/or the Program Owner) may receive and process your message content, phone number, and metadata to respond to you, provide support, maintain records, and improve the Messaging Services.
Do not send sensitive information (e.g., payment card details, passwords, medical information) via SMS. SMS is not guaranteed to be encrypted end-to-end.
7. Application-to-person (A2P) and application-to-application (A2A)
Most Programs are A2P (an application sending messages to a person), including OTPs, notifications, reminders, and marketing.
Our platform may also support A2A workflows (application-to-application), such as APIs, webhooks, automations, and system integrations that trigger or route messages (including SMS, email, or in-app messaging). In A2A scenarios:
- You are responsible for securing your credentials/tokens, endpoints, and integration logic, and for preventing unauthorized use.
- You are responsible for the correctness of destination data you provide (e.g., phone numbers, routing rules, consent flags).
- We may implement rate limits, abuse controls, or message blocking to protect users, carriers, and platform integrity.
8. Eligibility, number ownership, and changes
You represent that you are the subscriber or customary user of the number you provide. If you change phone numbers, transfer service, or your number is reassigned, you agree to update your account information and/or opt out of Programs you no longer wish to receive.
We are not responsible for messages sent to a reassigned number where the sending party reasonably relied on prior consent and accurate records, to the extent permitted by law.
9. Prohibited use
You may not use the Messaging Services (or any Program) to send, request, or facilitate unlawful, harmful, deceptive, harassing, or abusive content. Programs must comply with applicable laws, carrier rules, and industry guidelines, including requirements around consent, identification, opt-out, and content restrictions.
We may suspend, block, or terminate messaging for suspected abuse, fraud, unlawful activity, security issues, or to comply with carrier requirements.
10. No emergency use; delivery not guaranteed
The Messaging Services are not intended for emergency communications. Do not use SMS to contact emergency services. Message delivery and timing are not guaranteed.
We are not responsible for delays, failures, or misrouting caused by carriers, networks, third-party providers, device settings, or factors outside our reasonable control.
11. Privacy and data retention
Our Privacy Policy describes how we handle personal information. We may retain message logs and related metadata as reasonably necessary for security, compliance, dispute resolution, troubleshooting, and operational needs.
If you are interacting with a Program operated by one of our customers, that customer’s privacy practices may also apply.
12. Disclaimers and limitation of liability
THE MESSAGING SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYNDRID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYNDRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE MESSAGING SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYNDRID’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE MESSAGING SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), OR THE AMOUNT YOU PAID (IF ANY) TO USE THE MESSAGING SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, liability is limited to the greatest extent permitted by applicable law.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Your continued participation in a Program after changes are posted constitutes acceptance of the updated Terms.
